Disclosure Agreements

Disclosure Agreements fall into several different categories. They are often known as Non-Disclosure Agreements, Mutual Non-Disclosure Agreements, Confidential Non-Disclosure Agreements, and Statement of Confidentiality and Non-Use Agreements. These agreements represent a contract between two or more parties where the subject of the agreement is the exchange of information to be kept secret.

This confidential relationship between the parties to the agreement can either be mutual, where all the parties are under an obligation to maintain secrecy, or unilateral, where only the receiving party is obligated to maintain secrecy. These agreements are used to protect any information which is not generally known or in the public knowledge. A confidential relationship is really created, and the terms thereof are defined in the agreement.

Be advised, a confidential agreement is not a patent, nor does it afford you the protections of a patent. Yet, it is a tool which can be used to prove the disclosure of confidential information between two or more parties.
